1. Who we are
SoftHospitals (“SoftHospitals”, “we”, “us”) is a hospital management software service provided by Inovdigitech LLP, [Registered address – to be added]. You can reach us at support@softhospitals.com.
“You” or “the hospital” means the hospital, clinic, nursing home, diagnostic centre or other healthcare organisation that registers for the service, and the people it allows to use it (its “users”).
2. Accepting these terms
By registering your hospital or using the service, you agree to these terms on behalf of your organisation. The person registering confirms that they are authorised to do so. If you do not agree, please do not use the service.
3. The service
SoftHospitals is web-based software for running a hospital: OPD and appointments, clinical records, nursing, IPD, pharmacy, laboratory, radiology, operation theatre scheduling, insurance billing, documents and finance, along with a patient app. Each hospital is given its own subdomain (for example yourhospital.softhospitals.com) and its own separate database.
The features available to you depend on your plan. We improve the service over time and may add, change or retire features. If we remove a feature that is central to your plan, we will tell you in advance where we reasonably can.
SoftHospitals is a record-keeping and workflow tool. It does not give medical advice, and all clinical decisions remain the responsibility of your qualified healthcare professionals.
4. Accounts and access
- Your hospital administrator creates user accounts and decides which role each user has.
- Users must keep their passwords secret and must not share accounts. You are responsible for activity under your hospital’s accounts.
- Tell us promptly at support@softhospitals.com if you believe an account has been misused.
- Remove access for staff who leave your organisation.
5. Subscription, fees and taxes
- The service is offered on a subscription basis. Plans, prices and billing periods are shown on our website and at registration.
- Where a plan includes a free trial, you will be told at registration when charging begins.
- Fees are payable in advance for each billing period through our payment partner. Prices are in Indian rupees and GST is charged as applicable.
- If a payment fails or is overdue, we may remind you and, after reasonable notice, suspend access until the account is brought up to date. Your data is not deleted because of a suspension.
- We may change prices for future billing periods. We will give you at least 30 days’ notice, and the change will not apply to a period you have already paid for.
Cancellations and refunds are covered by our refund & cancellation policy.
6. Acceptable use
You agree not to, and not to let anyone else:
- use the service for anything unlawful, or to store data you have no right to hold;
- try to access another hospital’s data or any part of the service you are not authorised to use;
- probe, scan or test the security of the service without our written permission;
- overload, disrupt or interfere with the service or its infrastructure;
- copy, resell, rent or reverse-engineer the software, except where the law allows it;
- upload malicious code, or send spam or unsolicited messages to patients through the service.
We may suspend access that puts the service, other hospitals or patients at risk, and will tell you why.
7. Your data belongs to you
All patient records, clinical information, bills and other data your hospital enters (“hospital data”) belong to your hospital. We do not claim any ownership of it.
You give us permission to store, process and back up hospital data only as needed to provide, secure and support the service for you. We do not sell hospital data, and we do not use patient data for advertising.
You are responsible for having the right to collect the data you enter, including obtaining patient consent where the law requires it, and for its accuracy.
8. Confidentiality of patient data
We treat all hospital data, and especially patient health information, as strictly confidential. Our staff may access it only when needed to provide support you have asked for, to keep the service running and secure, or when the law requires it, and they are bound by confidentiality obligations.
We protect hospital data with reasonable security practices, including a separate database for each hospital, role-based access, secure sessions, login lockout, audit logs and daily backups. Our privacy policy explains this in more detail. If we become aware of a security incident affecting your data, we will inform you without undue delay.
9. Availability and support
We aim to keep the service available at all times, but we cannot promise that it will be uninterrupted or error-free. Planned maintenance will be scheduled outside busy hospital hours where possible, and we will give notice of significant downtime. The service depends on internet connectivity at your premises, which is your responsibility.
Support is available by email at support@softhospitals.com.
10. Our intellectual property
The software, design, and the SoftHospitals name and logo belong to us. Your subscription gives your users a non-exclusive, non-transferable right to use the service for your hospital’s own operations while your subscription is active.
11. Ending the agreement
- You can cancel your subscription at any time, as described in our refund & cancellation policy.
- We may end the agreement if you seriously breach these terms and do not fix the breach within 15 days of our notice, or straight away if the law requires it.
- After the subscription ends, you may ask us for a copy of your hospital data within 30 days. After that, we may delete it, except where we must keep some records by law.
12. Limitation of liability
The service is provided on an “as is” and “as available” basis. To the extent the law allows:
- we are not liable for indirect or consequential losses, such as loss of profit, revenue, goodwill or business opportunity;
- we are not responsible for clinical decisions, or for errors in data entered by your users;
- our total liability for any claim relating to the service is limited to the fees you paid us for the service in the 12 months before the event that caused the claim.
Nothing in these terms limits liability that cannot be limited under Indian law.
13. Indemnity
You agree to compensate us for losses arising from claims by third parties that result from your breach of these terms or from data you did not have the right to enter into the service.
14. Changes to these terms
We may update these terms from time to time. We will post the new version on this page with a new “last updated” date and, for important changes, notify your hospital administrator at least 15 days before they take effect. Continuing to use the service after that means you accept the updated terms.
15. Governing law and disputes
These terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion. If that fails, the courts at [City – to be added], India will have exclusive jurisdiction.
